By checking the box and creating an account, you agree to these Terms of Service ("Terms") from Snap Education LLC (owner of Quietly AI) for the Quietly AI Chrome Extension.
1. Eligibility
1.1 Age Requirement. You must be at least 13 years old. If you are 13–17, you need parental or guardian consent.
1.2 Institutional Policies. You alone are responsible for obeying your school or university honor code.
2. Description of the Service
Quietly AI is an independent learning aid that overlays AI-powered explanations onto platforms such as Instructure® Canvas. It is not endorsed by or affiliated with Instructure Inc. or any institution.
3. Account Registration & Security
3.1 Registration. Premium use requires an account with your name and email.
3.2 Accuracy. Provide current, complete, and accurate info at all times.
3.3 Security. Keep your login credentials confidential; you are liable for activity under your account.
4. Subscriptions, Billing, and No-Refund Policy
4.1 Free Tier. 10 complimentary question generations at sign-up.
4.2 Paid Tier. Continued use requires a monthly subscription via Stripe®.
4.3 Billing Cycle. Renews automatically unless canceled before the period ends.
4.4 No Refunds. All sales are final unless required by law; cancelations apply to the next cycle.
5. Academic Integrity & Prohibited Conduct
5.1 No Cheating. You may not use Quietly to violate any academic-integrity policy, including during real-time assessments, proctored exams, or in any context where assistance is prohibited.
5.2 Termination. We may suspend or terminate accounts for misuse.
5.3 Indemnity. You agree to indemnify us for any claim arising from your misconduct.
6. Third-Party Services & OpenAI Usage
The Service relies on OpenAI APIs, Google Cloud (Firebase/Firestore), Stripe, and common JS libraries. Their terms apply; we're not responsible for their acts or outages.
7. Privacy
All data is handled in accordance with our Privacy Policy. We collect basic analytics (e.g., feature usage, question type, processing confidence) to improve functionality; we do not disclose personal data except as described in our Privacy Policy.
8. Intellectual Property
8.1 Our IP. Quietly's code, logos, and trademarks are owned by Snap Education.
8.2 License to You. We grant a limited, revocable license for personal, non-commercial educational use.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties (express or implied), and AI outputs may be incomplete, outdated, or incorrect; you are solely responsible for how you use them.
10. Limitation of Liability
Our total liability for any claim shall not exceed USD $100. We are not liable for indirect, incidental, special, punitive, or consequential damages.
11. Indemnification
You agree to defend and hold Snap Education harmless from any claim related to your use or misuse of the Service.
12. Dispute Resolution & Governing Law
12.1 Governing Law. Utah law governs these Terms.
12.2 Binding Arbitration. Except for small-claims matters, disputes will be resolved by final, binding arbitration (AAA Consumer Rules) in Salt Lake County, Utah, or virtually. No jury or class actions.
13. Termination
We may terminate or suspend access at any time for violation of these Terms; Sections 5–13 survive termination.
14. Changes to the Terms
We may modify these Terms. Material changes will be announced via the Service or email. Continued use constitutes acceptance.

16. Entire Agreement & Severability
These Terms and the Privacy Policy are the entire agreement. If any provision is unenforceable, the remainder stays in force.
17. Service Availability & Data
We do not guarantee uninterrupted service. We are not responsible for data loss, corruption, or delays. Service may be temporarily unavailable for maintenance.
18. AI Output Disclaimers
AI outputs are provided "as-is" for educational support only. We do not guarantee accuracy, completeness, or appropriateness. You are solely responsible for verifying information and complying with academic policies. We are not liable for any consequences of relying on AI outputs.
19. Force Majeure
We are not liable for delays or failures due to circumstances beyond our control including but not limited to natural disasters, war, government actions, or technical failures.
